Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer," "you," "your") and Arkis Peptides LLC, a Massachusetts limited liability company ("Arkis Peptides," "we," "us," "our"). They govern your access to arkispeptides.shop (the "Site"), your research-account application, and all purchases you make from us.

By accessing the Site, submitting a research-account application, or placing an order, you accept and agree to be bound by these Terms. If you do not agree, you must not use the Site or purchase our products.

You represent and warrant that you are at least 21 years of age and are legally able to enter into these Terms and to bind yourself — and, where applicable, the organization on whose behalf you are acting.

If you order on behalf of an organization, you confirm that you are authorized to bind that organization, and you do so. In that case, "you" includes that organization, and you are personally confirming your authority to act for it.

2.1 In Vitro Research Only

All products sold by Arkis Peptides are chemical reference materials intended solely for in vitro laboratory research conducted by qualified researchers. Products are NOT to be administered to any living organism — human, animal, or otherwise — under any circumstances. Products are not drugs, dietary supplements, cosmetics, or food, and are not intended to diagnose, treat, cure, or prevent any disease or condition, nor for any clinical, veterinary, agricultural, or household use.

2.2 Regulatory Status

Our products are not approved, evaluated, or cleared by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for human or veterinary use. Nothing on the Site states or implies that any product is exempt from FDA or other regulation. Any statements on the Site have not been evaluated by the FDA. You are solely responsible for determining the regulatory status of any product in your jurisdiction and for complying with all applicable federal, state, and local laws.

2.3 Specifications and Documentation

Product specifications, purity figures, molecular weights, sequences, and any certificates of analysis ("COAs") are provided as research reference only. Unless a lot-specific COA is posted for the exact lot you receive, stated purity is supplier-stated and not independently verified by us for that lot. We publish no dosing, administration, reconstitution-for-use, or human-use guidance, and nothing on the Site — including any referenced publication, third-party article, or scientific literature — should be read as such guidance.

2.4 No Professional Advice

Nothing on the Site constitutes medical, legal, regulatory, or professional advice. You should consult appropriately qualified professionals regarding your research and your compliance obligations.

3.1 Account Approval Required Before a First Order

We do not sell to unverified purchasers. Before your first order is accepted, you must complete our research-account verification and be approved by us.

3.2 Information Required

To complete verification you must provide:

• The legal name and type of your organization
• A domain email address at your institution or company (free or consumer email addresses may be declined)
• A laboratory or research contact
• A verified commercial or business street address
• A signed End-Use Statement (see Annex A)

3.3 Review at Our Discretion

We may approve, decline, or request additional information at our discretion, and we may re-verify an account at any time. Approval of an account is not an endorsement of your research, your methods, or your compliance with law.

3.4 Accurate Information

You must keep your verification information accurate and current. Providing false, incomplete, or misleading verification information is a material breach of these Terms and is grounds for cancellation of pending orders, refusal of future orders, and closure of your account.

3.5 Due Diligence

Under 21 CFR 312.160 and analogous rules, responsibility for lawful shipment rests with the shipper. Our verification process is part of that due diligence. It is not a substitute for your own legal obligations, and it does not transfer any of your responsibilities to us.

4.1 Research Use Only

You may purchase products only for in vitro laboratory research conducted by you or your organization. You must not purchase for any other purpose.

4.2 No Resale, Repackaging, or Transfer

You must not resell, redistribute, repackage, relabel, repurpose, sub-license, or otherwise transfer any product, in whole or in part, to any third party without our prior written consent. This applies to any form — including treating a product as, or incorporating it into, a supplement, drug, therapeutic agent, cosmetic, food, or research material.

4.3 No Prohibited Use

You must not use products for human or veterinary administration, in any product intended for human or animal use, or in violation of any applicable law.

4.4 No Medical or Health Claims

You must not make any medical, therapeutic, or health claim about our products.

4.5 Compliance Responsibility

You are responsible for all licenses, permits, training, facilities, and recordkeeping required for your research and for your use of our products.

5.1 Orders Are Offers

All orders are offers to purchase that are subject to our acceptance. Our acknowledgment or confirmation of an order is not acceptance. Acceptance occurs when we ship the products and send shipping confirmation. Until then, no contract of sale exists.

5.2 Approved Accounts Only

We accept orders only from approved, verified research accounts. We may decline or cancel any order at any time, including where verification cannot be completed, where we suspect prohibited use or resale, where pricing or stock information is inaccurate, or where we suspect fraud.

5.3 Refund If We Cancel

If we cancel an order, we will refund the amounts you paid for that order in full, using the original payment method where possible.

5.4 Cancellation by You

You may request cancellation before shipment by emailing support@arkispeptides.shop. Once an order has shipped, Section 8 applies.

6.1 Accepted Payment Methods

We accept major credit and debit cards, ACH and wire transfer, and — for approved institutional accounts — invoicing on approved terms.

6.2 Methods We Do Not Accept

We do not accept Venmo, Zelle, cryptocurrency, or other cash-based peer-to-peer transfers. Please do not send payment through these channels; we cannot process or refund them.

6.3 No Card Surcharge

We do not impose a surcharge for paying by credit card. Any convenience fee permitted by law will be disclosed to you before you pay. Massachusetts law prohibits credit card surcharges.

6.4 Currency, Taxes, and Fees

All prices are in U.S. dollars and may change without notice. Prices are exclusive of taxes and duties unless stated. You are responsible for applicable taxes, duties, and any bank or transfer fees.

6.5 Payment Before Shipment

Unless invoicing has been approved, payment must clear before your order ships. If invoicing is approved, invoiced amounts are due on the stated terms.

6.6 Chargebacks

Please contact us before initiating a chargeback so we can help resolve the issue. Unjustified chargebacks may result in suspension or closure of your account.

7.1 United States Only; Verified Commercial Addresses

We ship only within the United States, and only to verified commercial or business street addresses. We do not ship to residential addresses, P.O. boxes, mail-forwarding services, parcel lockers, or freight forwarders. Orders to such addresses may be cancelled and refunded under Section 5.3.

7.2 Cut-Off Time

Orders placed and verified before 2:00 p.m. ET on a business day are processed the same day; otherwise they are processed the next business day.

7.3 Shipping Charges

Standard shipping is free on orders over $250. For orders at or below $250, shipping charges are shown at checkout.

7.4 Delivery Estimates and Risk of Loss

Delivery timeframes are estimates, not guarantees. Risk of loss and title pass to you on delivery to the carrier. We are not responsible for carrier delays.

7.5 Temperature Control

Products ship with cold-chain packaging where indicated. You must inspect products on arrival and store them in accordance with the product documentation. We are not liable for temperature excursions after delivery.

7.6 Undeliverable or Refused Shipments

Orders returned as undeliverable, refused, or that cannot be released to the recipient may be subject to return-shipping and restocking fees.

8.1 Replacement Remedy

If a product arrives damaged, if the wrong product was shipped, or if a lot-specific COA is posted for the lot you received and its results do not meet the posted specification for that lot, we will replace the affected product (the "Replacement Remedy"). To claim, contact us within 5 days of delivery with your order number and photographs or other documentation. We may require that the affected material be returned or further documented before we replace it.

8.2 Refunds

Except as stated in Section 5.3 (where we cancel an order), we do not offer refunds. The Replacement Remedy is your exclusive remedy for quality, damage, and fulfillment issues.

8.3 Non-Returnable and Non-Replaceable Items

• Opened, reconstituted, used, or improperly stored products
• Products past their stated expiration date
• Custom or special-order items
• Products held beyond the reporting window in Section 8.1

8.4 Reporting Window

Claims must be reported within 5 days of delivery. Claims reported later cannot be accepted.

8.5 Authorized Returns Only

Do not ship anything back to us without prior authorization. Unauthorized returns will be refused.

8.6 No Admission

Providing a replacement under Section 8.1 is not an admission of fault and creates no obligation beyond replacement of the affected product.

9.1 "As Is"

TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Express Carve-Out

The only remedy we offer for quality, damage, or fulfillment issues is the Replacement Remedy in Section 8.1. Nothing in this Section 9 limits the Replacement Remedy.

9.3 Research Data

We do not warrant that any specification, COA, or literature reference is accurate, complete, or suitable for your research. Supplier-stated purity is passed through without independent verification for each lot.

9.4 Your Responsibility

You are solely responsible for evaluating the suitability and safety of any product for your research.

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR RESEARCH, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

10.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

10.3 Mandatory Rights Preserved (Mass. G.L. c. 93A)

Nothing in these Terms waives, limits, or excludes any right or remedy you may have under Massachusetts General Laws Chapter 93A or any other non-waivable consumer-protection statute. If you are a consumer, the limitations in this Section 10 apply only to the extent permitted by that statute.

10.4 Prohibited Uses

We have no liability for any loss, injury, or damage arising from any use of a product contrary to Section 2 or Section 4, or in violation of applicable law.

11.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Arkis Peptides regarding the use of our website and products.

11.2 Modifications

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website. Your continued use of our website or services after changes are posted constitutes acceptance of the modified terms.

11.3 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

11.5 Assignment

You may not assign or transfer these Terms and Conditions or your rights hereunder without our prior written consent. We may assign these Terms and Conditions without restriction.
